Introduction

The UAE has extended an important Corporate Tax measure designed to support small businesses and start-ups. The Ministry of Finance has issued Ministerial Decision No. 131 of 2026, extending the period during which eligible businesses can claim Small Business Relief to tax periods ending on or before 31 December 2029. Previously, the AED 3 million revenue threshold was scheduled to apply only to qualifying tax periods ending on or before 31 December 2026.

The extension provides additional certainty for UAE SMEs and entrepreneurs while they continue to grow under the UAE Corporate Tax regime. However, businesses should understand that Small Business Relief is not simply a blanket Corporate Tax exemption. Eligibility depends on specific conditions, and businesses claiming the relief still have important registration, filing and record-keeping responsibilities.

What Is Small Business Relief in the UAE?

Small Business Relief is a Corporate Tax relief introduced under Ministerial Decision No. 73 of 2023. It allows eligible UAE resident taxable persons with revenue of AED 3 million or less in the relevant tax period and all previous tax periods to be treated as having not derived taxable income for that tax period. The election must be made for each relevant tax period.

The UAE Ministry of Finance introduced the measure to reduce the Corporate Tax burden and compliance costs for small and micro businesses, supporting start-ups and smaller enterprises during the transition to the UAE Corporate Tax system.

What Has Changed With the 2026 Decision?

The major change is the extension of the relief period.

Ministerial Decision No. 131 of 2026 replaces the previous end date in Ministerial Decision No. 73 of 2023. The AED 3 million threshold will continue to apply to tax periods commencing on or after 1 June 2023 and to subsequent tax periods ending on or before 31 December 2029.

In practical terms, eligible small businesses can potentially continue benefiting from Small Business Relief through tax periods ending in 2029, provided they satisfy the applicable conditions.

For a business with a 31 December financial year-end, this extension potentially covers the 2027, 2028 and 2029 tax periods that would otherwise have fallen outside the original relief window.

Who Can Claim Small Business Relief?

The relief is generally available to a Resident Person, including qualifying resident natural and juridical persons, provided the applicable requirements are satisfied.

The most important condition is the revenue threshold. The business must have revenue of AED 3 million or less in the relevant tax period and in all previous tax periods. The FTA specifically confirms that exceeding the threshold in a previous tax period can prevent the business from claiming the relief in a later period.

For example, if a business generates AED 2 million in 2026 but had generated AED 3.5 million in 2025, it would not satisfy the historical revenue condition for claiming Small Business Relief for 2026.

This makes accurate bookkeeping and year-on-year revenue tracking especially important for SMEs.

Who Cannot Claim the Relief?

Not every UAE business with revenue below AED 3 million automatically qualifies.

The Federal Tax Authority states that Qualifying Free Zone Persons (QFZPs) cannot elect for Small Business Relief. Members of a multinational enterprise group with consolidated group revenue exceeding AED 3.15 billion are also excluded.

Businesses should therefore assess their legal structure, tax status, group relationships and historical revenue before assuming that the relief applies.

Does Small Business Relief Mean You Do Not Need to File Corporate Tax?

No. This is one of the most important points for UAE business owners.

Small Business Relief does not remove the requirement to comply with Corporate Tax procedures. The FTA has confirmed that businesses eligible for the relief must still submit their Corporate Tax returns within the prescribed deadline. They may benefit from a simplified return, but they remain responsible for filing correctly and on time.

For businesses whose tax period ended on 31 December 2025, for example, the Corporate Tax return deadline is 30 September 2026, as Corporate Tax returns and payment are generally due within nine months from the end of the relevant tax period.

Why Proper Accounting Still Matters

The extension makes Small Business Relief more valuable, but it also makes accurate financial records increasingly important.

Businesses need reliable revenue figures to establish whether they remain below the AED 3 million threshold. They should maintain transaction records, supporting invoices, accounting records and other documents that demonstrate their eligibility if required by the FTA.

Poor bookkeeping can make it difficult to determine whether a company qualifies and may result in incorrect Corporate Tax declarations.

What Should UAE SMEs Do Now?

Businesses should first review their Corporate Tax registration status, tax period, annual revenue and previous-period revenue. They should then determine whether they qualify for Small Business Relief for the relevant tax period.

Eligible businesses should make the appropriate election when filing their Corporate Tax return rather than assuming the relief is automatically applied. At the same time, businesses approaching or exceeding AED 3 million in revenue should prepare for the possibility that Small Business Relief may no longer be available.

The extension until 2029 provides valuable planning time, but SMEs should use this period to strengthen their accounting systems and prepare for future Corporate Tax obligations as their businesses grow.
