Running a foreign company from Dubai: Place of Effective Management under UAE Corporate Tax

Quick answer

The Place of Effective Management (PoEM) is where a company’s key management and commercial decisions are actually made. Under UAE Corporate Tax, a company set up outside the UAE but effectively managed and controlled from the UAE is treated as a UAE Resident Person. That means it can be taxed in the UAE on its worldwide income, not only its UAE income.

This matters most for business owners who run a foreign company (for example in the UK, India, BVI or Cyprus) while living and making decisions in Dubai.

What is Place of Effective Management under UAE Corporate Tax law?

PoEM comes from Article 11(3)(b) of Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses (the UAE Corporate Tax Law). It treats a juridical person incorporated outside the UAE as a UAE Resident Person if it is effectively managed and controlled in the UAE.

PoEM is an internationally used test. Its aim is to stop companies from being registered in one country while really being run from another to avoid tax.

The Federal Tax Authority (FTA) explains how it applies PoEM in its Tax Procedures Guide on Tax Residency and Tax Residency Certificates (TPGTR1), published on 18 October 2024. The key idea is substance over form: what counts is where decisions are really made, not where the company is registered.

Why does PoEM matter for a foreign company?

If a foreign company’s PoEM is in the UAE, it becomes a UAE Resident Person for Corporate Tax. The main consequences are:

  • Worldwide income is taxable in the UAE, with relief for foreign tax under any applicable Double Taxation Agreement.
  • Corporate Tax registration with the FTA on EmaraTax is required, even if the company has no UAE trade licence.
  • Annual Corporate Tax return filing and tax payment are required.
  • Transfer pricing rules apply to dealings with related parties and connected persons.
  • Dual residency risk arises if the country of incorporation also treats the company as resident.

What Corporate Tax rate applies? A foreign company with PoEM in the UAE is taxed like any other UAE Resident Person: 0% on taxable income up to AED 375,000 and 9% on taxable income above AED 375,000.

Who should check whether PoEM applies to them?

You should review your position if a company registered outside the UAE is run, fully or partly, by people based in the UAE. Common situations include:

  • Business owners who moved to Dubai but kept their company registered in their home country, such as the UK, India or Europe
  • Owners of offshore companies (for example BVI, Seychelles or Cayman) who manage them from the UAE
  • Family holding companies whose decision makers live in the UAE
  • Groups with a regional head office in Dubai that directs foreign subsidiaries
  • Foreign companies whose only director or managing director is a UAE resident

PoEM applies to companies and other juridical persons. Individuals follow separate tax residency rules.

If your company is incorporated in the UAE but owned by overseas shareholders, different obligations apply — see our guide to compliance for foreign-owned companies.

How does the FTA decide where a company’s PoEM is?

The FTA looks at who makes the key management and commercial decisions, and where they make them. Its guide sets out three tests:

  1. Board of Directors test: Where the board actually meets and makes strategic, commercial and policy decisions.
  2. Senior management test: If the board delegates decisions to executives or managers, where those people actually exercise that authority.
  3. Shareholder activity test: Whether shareholders go beyond normal shareholder rights and make management decisions themselves, and where.

Normal shareholder acts, such as appointing directors or approving major corporate actions, usually do not decide PoEM on their own.

Other factors the FTA may consider:

  • Where senior executives and key management personnel live and work
  • Where day-to-day operations and central administration happen
  • Where the main accounting records and statutory books are kept
  • The place of incorporation and governing law

If key decisions are made in several countries, the FTA may look at where the company has its strongest economic link, such as its employees, assets and revenue.

What is the difference between PoEM and a Permanent Establishment (PE)?

A PE is taxed only on income linked to the PE. A PoEM company is taxed on its worldwide income.

Point PoEM in the UAE Permanent Establishment in the UAE
Status Resident Person Non-Resident Person
Income taxed in the UAE Worldwide income Only income attributable to the PE
What creates it Key management decisions made in the UAE A fixed place of business or a dependent agent in the UAE
Legal basis Article 11(3)(b), Corporate Tax Law Article 14, Corporate Tax Law
Registration deadline 3 months from the end of the financial year 6 months from the date the PE exists

When must a company with PoEM in the UAE register for Corporate Tax?

A foreign company that becomes effectively managed and controlled in the UAE must apply for Corporate Tax registration within 3 months from the end of its financial year, under FTA Decision No. 3 of 2024.

Example: a company with a 31 December 2025 year end that is managed from Dubai had to apply by 31 March 2026.

Late registration carries an administrative penalty of AED 10,000. Many foreign companies do not hold a UAE trade licence, so they often miss this step without realising it applies to them.

Examples: when could PoEM be in the UAE?

  • Likely PoEM in the UAE. A company registered in the UK has one director, who lives in Dubai. She signs contracts, approves budgets and runs the business from her Dubai office. Board meetings are held in Dubai.
  • Likely not PoEM in the UAE. A company registered in India has a full board in Mumbai that meets and decides there. Its UAE-based shareholder only votes at the annual general meeting.
  • Needs careful review. A Cyprus company holds board meetings in Cyprus, but every decision is already agreed in Dubai by a UAE-resident managing director before the meeting. The FTA may see the Cyprus meetings as a formality and the real decisions as made in the UAE.

How do Double Taxation Agreements affect PoEM?

A company can end up resident in two countries at once: the country where it is incorporated and the UAE, where it is managed. This is called dual residency, and it can lead to the same income being taxed twice.

The UAE has a wide network of Double Taxation Agreements (DTAs). Where a DTA applies, its tie-breaker rule decides which country the company is resident in for treaty purposes. Tie-breaker wording differs between treaties, so each DTA must be checked on its own terms.

The FTA’s Tax Residency Guide also explains how UAE tax residents can apply for a Tax Residency Certificate, which is often needed to claim treaty benefits abroad.

How can you manage PoEM risk?

  • Map who makes the key decisions for each foreign company, and where they physically are when they do.
  • Hold board meetings where the company is meant to be resident, with directors attending in person where possible.
  • Keep clear board minutes showing where real decisions were discussed and made.
  • Check whether any UAE-based owner or manager is making decisions outside their formal role.
  • Review where accounting records, statutory books and senior staff are based.
  • Check the Double Taxation Agreement between the UAE and the country of incorporation.
  • If PoEM is in the UAE, register for Corporate Tax on time and plan for worldwide income reporting.

The FTA looks at substance, so the real decision-making pattern must match the paperwork.

Frequently asked questions about PoEM in the UAE

What does PoEM stand for in UAE Corporate Tax?

Place of Effective Management. It is the place where a company’s key management and commercial decisions are made in substance.

Can a company registered outside the UAE be taxed in the UAE?

Yes. If it is effectively managed and controlled in the UAE, it is a UAE Resident Person and taxed on its worldwide income.

Does a foreign company need a UAE trade licence to have PoEM in the UAE?

No. PoEM depends on where decisions are made, not on holding a licence.

Is one board meeting in Dubai enough to create PoEM?

Not by itself. The FTA looks at the overall pattern of where key decisions are made over time.

Do shareholders living in the UAE create PoEM?

Not usually. Normal shareholder rights do not create PoEM. It can arise if shareholders actually run the business from the UAE.

What happens if a company is resident in both the UAE and another country?

The Double Taxation Agreement between the two countries, if there is one, decides residency for treaty purposes.

What is the penalty for not registering a PoEM company for Corporate Tax?

Late registration carries an administrative penalty of AED 10,000.

What Corporate Tax rate applies to a company with PoEM in the UAE?

0% on taxable income up to AED 375,000 and 9% above that amount.

Does PoEM apply to individuals?

No. PoEM is a test for companies and other juridical persons. Individuals have their own tax residency rules.

Is PoEM the same as being a Free Zone company?

No. A Free Zone company is incorporated in the UAE, so it is already a Resident Person. PoEM is about companies incorporated outside the UAE.

Can I avoid PoEM by holding board meetings by video call?

Not necessarily. The FTA looks at where directors and managers actually are when they make decisions.
