A foreign-owned UAE company has the same compliance duties as any other UAE company: corporate tax registration and filing, VAT once it crosses the threshold, proper bookkeeping, record retention, and in some cases an audit and ownership filings. Essence Accounting and Bookkeeping Co. L.L.C., an FTA-registered tax agency in Business Bay, Dubai, handles this end to end for founders who run their UAE company from the UK, USA, China, Canada, Japan and beyond.

Your setup provider got you a licence. That is not the same as staying compliant. The real question is whether every obligation has a clear owner, a deadline and the records to back it up.

Key takeaways

  • Foreign ownership changes nothing on tax. A UAE-incorporated company is a UAE tax resident, whoever owns it.
  • Corporate tax and VAT run on separate clocks. Different thresholds, deadlines and penalties.
  • A free zone licence is not a 0% guarantee. The company must qualify as a Qualifying Free Zone Person (QFZP).
  • Bank statements are not bookkeeping. Corporate tax records must be kept for seven years.
  • Your setup provider may not be handling any of this. Confirm who owns each deadline.

Is a foreign-owned UAE company taxed like a local one?

Yes. A company incorporated in the UAE, including a free zone company, is a UAE-resident person for corporate tax under Article 11 of Federal Decree-Law No. 47 of 2022, regardless of its shareholders’ nationality.

Having overseas owners or overseas clients does not remove UAE tax obligations. Under Article 3 of the same law, the standard rates are:

  • 0% on taxable income up to AED 375,000
  • 9% on taxable income above AED 375,000

This threshold applies to taxable profit, not revenue. The calculation starts from the profit in your financial statements, adjusted as the law requires (Article 20). And a company with nothing to pay can still have to register and file.

The five compliance clocks in your first year

Each obligation starts on a different date, so your compliance calendar should never be tied to your licence renewal.

Obligation Rule Legal source
Corporate tax registration Companies incorporated on or after 1 March 2024 must apply within 3 months of incorporation. Older companies and foreign entities follow different deadlines. FTA Decision No. 3 of 2024
VAT registration Required once taxable supplies and imports exceed AED 375,000 in the past 12 months, or are expected to in the next 30 days. Apply within 30 days. FTA VAT registration rules
Accounting records Corporate tax records kept for 7 years after the tax period ends. Article 56, Corporate Tax Law
Audit Required for revenue above AED 50 million (non-tax-group companies) and for every QFZP regardless of revenue, for periods starting on or after 1 January 2025. Company law and free zone rules apply separately. Ministerial Decision No. 84 of 2025
Beneficial owner (UBO) register Set up within 60 days; changes updated within 15 days. Cabinet Decision No. 109 of 2023

Essence sets this calendar up during onboarding and assigns an owner to every step: prepare, review, approve, submit and pay.

Bookkeeping, records and accounting standards

Your company must keep complete accounting records, not just bank statements. Under Article 4 of Federal Decree-Law No. 28 of 2022 and Cabinet Decision No. 74 of 2023, that includes transaction records, financial statements, payroll, fixed assets, inventory, invoices, contracts and your tax calculations.

How long to keep them:

  • Corporate tax records: 7 years after the tax period ends (Article 56, Corporate Tax Law)
  • Company law: at least 5 years (Article 26, Federal Decree-Law No. 32 of 2021)
  • VAT records: at least 5 years; 15 years for real estate

Keep the longest period that applies. Audits and disputes can extend it.

English or Arabic? The FTA accepts English records, but can ask for Arabic translations (Article 5, Tax Procedures Law).

Which accounting standard? IFRS by default. Companies with revenue up to AED 50 million may use IFRS for SMEs, and companies below AED 3 million revenue may use cash-basis accounting (Ministerial Decision No. 114 of 2023).

Essence keeps your books current every month through our bookkeeping services in Dubai, so nothing has to be rebuilt the week before a deadline.

Does your company need an audit?

Check three separate tests. Passing one does not clear the others.

  1. Corporate tax: for tax periods starting on or after 1 January 2025, audited financial statements are required when revenue exceeds AED 50 million, and for every QFZP regardless of revenue (Ministerial Decision No. 84 of 2025). Tax groups have their own audited-statement rules.
  2. Company law: mainland LLCs and joint-stock companies have annual audit obligations under company law.
  3. Your free zone: each free zone sets its own rules. DMCC, for example, requires audited statements within six months of year end. Never assume one deadline fits all free zones.

Essence prepares the records and schedules your auditor needs and coordinates the process. See our audit services in Dubai.

Free zone companies: a licence is not a 0% guarantee

A free zone company pays 0% corporate tax only if it qualifies as a Qualifying Free Zone Person (QFZP). That requires adequate substance in the free zone, qualifying income, transfer pricing compliance and audited financial statements (Article 18, Corporate Tax Law; Cabinet Decision No. 100 of 2023).

A QFZP pays 0% on qualifying income and 9% on non-qualifying income (Article 3(2)). The AED 375,000 zero band does not apply to its non-qualifying income.

Which activities qualify? Ministerial Decision No. 229 of 2025, which replaced Decision No. 265 of 2023 retroactively from 1 June 2023, lists them: manufacturing, processing, logistics, holding, qualifying commodity trading and certain financial activities. General consultancy for overseas clients is not on the list.

The de minimis rule: non-qualifying revenue must stay below the lower of 5% of total revenue or AED 5 million.

The risk: fail the conditions and the company loses QFZP status for that tax period and the next four (Article 5, Ministerial Decision No. 229 of 2025).

Good free zone company accounting means reviewing your actual income streams against these rules, not relying on the licence. See our guide to Qualifying Free Zone Person UAE.

VAT for foreign-owned companies

VAT registration becomes mandatory once your taxable supplies and imports exceed AED 375,000 over the past 12 months, or are expected to within the next 30 days. It is a rolling test, checked continuously, not once at year end. You then have 30 days to apply.

Voluntary registration is available above AED 187,500. Returns and payment are due within 28 days after each tax period, and the FTA assigns your period, so don’t assume quarterly.

A free zone address does not exempt you from VAT. Designated zone treatment is a separate, specific regime.

Essence monitors your threshold monthly and handles your VAT registration and VAT return filing.

Tax residency certificates and treaties for international founders

A UAE tax residency certificate (TRC) proves residence for a stated purpose and period (Ministerial Decision No. 247 of 2023). It does not, by itself, guarantee treaty relief. Each treaty sets its own conditions.

Your home country UAE income tax treaty
United Kingdom Yes, in force since 2016
China (mainland) Yes, in force since 1994
Canada Yes, in force since 2004
Japan Yes, in force since 2014
United States No comprehensive income tax treaty. The UAE–US FATCA agreement covers information reporting only.

Before applying, know this: under the FTA’s current service rules, a company generally needs to have existed for 12 months, the certificate cannot cover a future period or more than 12 months, and foreign branches and offshore companies are not eligible.

Essence prepares and submits UAE tax residency certificate applications and checks eligibility first.

Five costly mistakes foreign-owned companies make

Mistake What it costs Source
“No revenue, so no corporate tax filing” AED 10,000 for late registration (waived if the first return is filed within 7 months of the first tax period). Late returns: AED 500/month for 12 months, then AED 1,000/month. Cabinet Decision No. 75 of 2023
Checking the VAT threshold only at year end AED 10,000 for late VAT registration, plus VAT owed from the date you should have registered. Cabinet Decision No. 40 of 2017, as amended by No. 129 of 2025
Treating all overseas income as qualifying free zone income Loss of QFZP status for the year and the next four, with 9% tax exposure. Ministerial Decision No. 229 of 2025
Keeping only bank statements AED 10,000 per violation; AED 20,000 if repeated within 24 months. Cabinet Decision No. 75 of 2023
Filing on time but paying late 14% per year, charged monthly, on unpaid corporate tax. VAT late payment follows the same 14% mechanism since 14 April 2026. CT: Cabinet Decision No. 75 of 2023. VAT: Cabinet Decision No. 129 of 2025

Avoid these penalties before they accrue. Essence Accounting — FTA-registered tax agent (TAN 30006266) — manages your entire compliance calendar from registration to filing and payment, for founders running their UAE company from anywhere in the world.

What Essence Accounting handles, and what stays with you

Appointing a tax agent does not transfer your legal responsibility as the taxpayer (Article 14, Tax Procedures Law). So we make the split explicit from day one.

Essence Accounting handles You keep responsibility for
Monthly bookkeeping and accounting records Sending complete invoices, contracts and bank statements on time
Corporate tax registration, computation and return filing Approving the return and paying the tax
VAT threshold monitoring, registration and return filing Disclosing all transactions and supporting evidence
QFZP eligibility review Accurate information on activities, customers and related parties
Audit preparation and coordination Appointing the independent auditor where required
Tax residency certificate applications Supplying genuine documents and confirming the purpose
Your compliance calendar and status reporting Reviewing, approving and paying within deadlines

For founders managing a UAE company from abroad, this split removes the guesswork: you always know what is with us and what needs your sign-off.

How Essence Accounting onboards a foreign-owned company

  1. Documents. You send your trade licence, incorporation documents, MOA, ownership details, bank statements, invoices and any existing VAT or corporate tax registrations. We confirm the exact list after a short call.
  2. Review. We check your current position: registrations, missed or upcoming deadlines, record gaps, audit needs and, for free zone companies, QFZP eligibility.
  3. Compliance calendar. We map every deadline to your financial year and assign an owner to each step.
  4. Monthly accounting. We keep your books current and flag missing documents early, long before any filing is due.
  5. Filing. We prepare and submit your corporate tax and VAT returns, and tell you exactly what to approve and pay, and when.

Whether you need the full package or just accounting services in Dubai, the scope is agreed in writing before work starts.

Frequently asked questions

Can Essence Accounting manage my UAE company’s compliance while I live in the UK, US or China?

Yes. Essence Accounting runs bookkeeping, VAT and corporate tax compliance for foreign-owned UAE companies whose founders live abroad. You send documents digitally, we keep your books and calendar current, and you approve filings and payments remotely. Most of our communication runs by email and WhatsApp.

Does Essence Accounting handle both corporate tax and VAT?

Yes. Essence Accounting handles corporate tax registration and filing, VAT registration and returns, and the monthly bookkeeping behind both, under one engagement. One team, one calendar, so nothing falls between two providers.

Can Essence Accounting tell me if my free zone company qualifies for 0% tax?

Yes. Essence Accounting reviews your income streams, activities and substance against the Qualifying Free Zone Person rules, including the de minimis limit and the audit requirement. You get a clear answer on what qualifies and what is taxed at 9%, before you file.

My company missed a corporate tax deadline. Can Essence Accounting fix it?

Yes. Essence Accounting registers late companies and files the first return inside the 7-month window that waives the AED 10,000 late registration penalty, where your first tax period still allows it. We review your position first and tell you exactly what can still be recovered.

What does Essence Accounting need from me to start?

Essence Accounting needs your trade licence, incorporation documents, MOA, ownership details, recent bank statements, invoices and any existing tax registrations. If past bookkeeping is missing, we catch it up as part of onboarding. We confirm the exact list after a short call.

Can Essence Accounting coordinate my company’s audit?

Yes. Essence Accounting prepares the financial records and schedules your auditor needs and coordinates the audit with your free zone’s deadlines. The audit opinion itself is issued by an independent auditor, which we help you appoint where required.

Can Essence Accounting get my company a UAE tax residency certificate?

Yes. Essence Accounting checks eligibility, prepares the documents and submits your tax residency certificate application to the FTA. If you plan to use it under a tax treaty, we review that treaty’s conditions first, since a certificate alone does not guarantee relief.
